1. Eligibility

1.1 Minimum Age: You must be at least 13 years old (or the legal age in your jurisdiction) to create an account or use the Services. If you are under 18, you must have parental or guardian consent

1.2 Authority: You represent and warrant that you have the right, authority, and capacity to enter into these Terms on your behalf or on behalf of the entity you represent.

1.3 Geographic restrictions: You agree to comply with all applicable local, national, and international laws and regulations regarding your use of the Services. The availability and functionality of certain features or the entire App may be subject to legal restrictions or prohibitions based on your country or region. If the use of Calove, or any of its features, would violate the laws or regulations of your jurisdiction, you must not use the App or such features. In all cases, you are solely responsible for ensuring that your access to and use of Calove complies with all applicable laws. Where there is a conflict between these Terms and local law, local law shall prevail

2. Account Registration and Security

You may register for Calove only through Apple or Google account sign-in. You agree to provide accurate, complete, and up-to-date information.

● You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

● You may not create more than one Calove account or share your account with others.

● Notify us immediately at support@calove.ai if you suspect unauthorized access to your account.

3. Changes to the Services and Terms

Calove may update, modify, suspend, or discontinue any aspect of the Services or these Terms at any time for any reason. Material changes will be made apparent to you (such as through in-app notice or email).

● Your continued use of the Services after a change indicates your acceptance of the revised Terms. If you do not agree, you must stop using Calove and close your account

4. Subscription, Billing, and Cancellation

● Certain features of Calove may require a paid subscription ("Premium Services"). Subscription options, features, and pricing are detailed within the app or on our website.

● Payment: By subscribing, you authorize us and our third-party payment providers (e.g., Apple, Google, or others) to process payments using your selected payment method

● Renewal & Cancellation: Subscriptions may renew automatically unless you cancel at least three (3) days prior to the end of the current billing cycle. If you do not cancel at least three (3) days before the renewal date, your subscription will automatically renew and your selected payment method will be charged for the next billing period. To cancel, you must do so through the platform where you subscribed (e.g., Apple App Store, Google Play). Please note that deleting your account or uninstalling the app does not automatically cancel your subscription

● Free Trials: If offered, free trials will convert to paid subscriptions unless cancelled before the trial period ends. Only one trial per user is permitted.

● Refunds: Refunds, if applicable, are governed by the policies of the payment provider or marketplace (Apple, Google, etc.)

5. Health, Fitness & Informational Disclaimer

Important considerations:

• Consult a Professional: Always consult a physician or qualified healthcare provider before making significant changes to your diet, physical activity, or wellness routine, especially if you have any medical conditions or are taking any medication.
• Emergency: Never disregard or delay seeking professional medical advice due to information provided by Calove. If you experience a medical emergency, seek immediate help from medical professionals

6. User Content

● User-Generated Content: You may submit content to Calove, such as food logs, diary entries, photos, tasks, and journal notes ("User Content"). You remain the owner of your User Content but grant Calove a worldwide, royalty-free, non- exclusive license to use, host, reproduce, modify, display, and distribute such content for the purpose of operating, improving, and promoting the Services.

● Permissions and Responsibility: By submitting User Content, you warrant that you own or have rights to the content and that it does not infringe any third-party rights or violate laws.

● Visibility: By default, your content is private. If you choose to share content in a public or social context within the app (should such features exist), you do so voluntarily, and it may be visible to other users.

● Monitoring: Calove may moderate, remove, or restrict access to content that violates these Terms or applicable law, but is not obliged to monitor all User Content.

7. Intellectual Property

● Calove and its licensors retain all rights, title, and interest in and to the Services, including but not limited to software, branding, visual design, and database structures, except for User Content

● Calove hereby grants you a limited, revocable, non-transferable, non-sublicensable license to use the Services for your personal, non-commercial purposes, strictly as permitted by these Terms. All rights not expressly granted are reserved.

● You may not copy, modify, sell, reverse-engineer, distribute, or create derivative works of any part of the Services except as expressly permitted by these Terms

8. Use Restrictions

You agree not to, nor permit anyone else to:

• Use the Services for unlawful, harmful, or misleading purposes, or in violation of applicable law.
• Violate, misappropriate, or infringe the intellectual property or privacy rights of others.
• Upload, post, transmit, or share content that is unlawful, harassing, hateful, obscene, defamatory, or otherwise objectionable.
• Access or scrape the Services with automated means without our express consent.
• Attempt to gain unauthorized access to any aspect of the Services, servers, networks, or user accounts.
• Introduce any viruses, malware, or harmful code.
• Interfere with the functioning or security of the Services, or with users' enjoyment of the Services

9. Third-Party Services & Content

• Calove integrates with third-party APIs and technologies (including, but not limited to, OpenAI and Passio). Your use of these features is subject to the respective third- party terms and privacy policies.
• We are not responsible for the quality, accuracy, legality, reliability, or suitability of third-party services or content. Use of third-party features is at your own risk.

10. Suspension and Termination

• We may, at our discretion, suspend, restrict, or terminate your access to the Services (including deletion of your account and data) at any time and for any reason, including violation of these Terms or legal requirements.
• You may end your relationship with Calove at any time by deleting your account via the app's account settings
• Calove may also discontinue the Services, in whole or in part, at any time with reasonable notice.

11. Disclaimers

To the maximum extent permitted by law:

• The Services, including all information, plans, AI recommendations, virtual companion outputs, and other content, are provided "as is," "as available," and without warranties of any kind, express or implied (including but not limited to merchantability, fitness for a particular purpose, and non-infringement).
• We do not guarantee that the Services will be uninterrupted, error-free, secure, or meet your expectations.
• User Content and any third-party health, fitness, or nutrition information are not reviewed for accuracy, completeness, or reliability by Calove.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

• Calove, its affiliates, directors, officers, employees, licensors, agents, or partners shall not be liable for any indirect, incidental, special, punitive, consequential, or exemplary damages (including but not limited to loss of profits, data, reputation, or business interruption) arising out of or relating to your use of, or inability to use, the Services, regardless of legal theory, even if we have been advised of the possibility of such damages
• Calove is not responsible for the content, accuracy, or safety of any user-generated content or third-party content or features accessed through the app.
• In jurisdictions where limitations on liability are not permitted, our liability shall be limited to the greatest extent permitted by the applicable law and, in any case, will not exceed the greater of the amount paid by you to Calove in the previous 12 months or USD $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Calove and its affiliates, directors, officers, employees, licensors, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of another.

14. Governing Law & Jurisdiction

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, or their subject matter or formation, shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

15. Dispute Resolution

• Most user concerns can be resolved quickly by contacting our support team at support@calove.ai.
• For legal disputes that cannot be informally resolved, both parties agree to attempt good-faith negotiation before escalating.
• Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules in force at the time. The seat of arbitration shall be Singapore, the language of the arbitration shall be English, and there shall be a sole arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

16. International Use

• Calove is intended for users around the world; however, not all features may be available in all locations
• You agree to comply with local laws and regulations regarding your use of the Services.
• You represent and warrant that you are not subject to any sanctions or lists issued by any government authority that would prohibit your use of Calove

17. Miscellaneous

• If any part of these Terms is found to be invalid or unenforceable, the rest will remain in effect
• Calove's failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets
• These Terms constitute the entire agreement between you and Calove regarding your use of the Services
